About This Program
Boot Camp: Corporate Veil Unveiled (2026) helps legal practitioners to approach cases involving businesses as parties with greater understanding and confidence. This four-session course begins with business structure fundamentals and progresses toward the circumstances that can expose individuals to personal liability arising from business related concerns.
Newly licensed practitioners gain an approachable foundation. Experienced practitioners gain an opportunity to revisit assumptions that can influence the selection of parties and the development of a case.
Each session connects legal principles with practical business situations. Participants learn to distinguish a corporation’s obligations from an individual’s obligations and recognize the different legal routes through which personal liability can arise.
The course also challenges the misconception that incorporation gives everyone acting for a corporation absolute protection. Liability insurance provides a useful reality check: commercial policies expressly contemplate claims against individuals acting in business capacities. The legal analysis then determines whether the particular facts support personal liability.
Session 1: Business Literacy
Takeaways:
1. Understand How Business Structures Allocate Business Risks
Business disputes become easier to understand when the underlying business structure becomes clear. This opening session introduces sole proprietorships, partnerships, and corporations. Participants explore why people choose these structures and how each structure affects the relationship between the business and the people involved.
2. Understand How Business Names Identify the Transacting Parties
An operating name can identify a business to its customers while leaving the identity of the legal person unclear. This session distinguishes a business’s operating name from its legal identity and explains the difference between registering a business name and incorporating a business. Practical examples show why practitioners must examine the details within transaction documents before identifying the parties to a dispute.
3. Understand How Business Roles Affect Potential Liability
A person can occupy several roles within the same business, and each role can matter differently when a dispute arises. This session explains the functions of proprietors, partners, shareholders, directors, officers, employees, and agents. Participants gain a foundation for distinguishing ownership from management and connecting a person’s role with the obligations and conduct in question.
Session 2: Personal Liability
Takeaways:
1. Understand How Corporate and Personal Obligations Differ
Incorporation provides important protection, but personal liability requires attention to the particular obligation and conduct in dispute. This session distinguishes liability for a corporation’s obligations from liability arising from an individual’s personal undertaking. Participants examine why identifying the contracting party is an essential starting point for assessing responsibility.
2. Understand How Personal Conduct Can Create Personal Liability
Acting for a corporation can leave an individual exposed to liability for the individual’s own tortious conduct. This session examines the distinction between imposing responsibility for a corporate obligation and imposing responsibility for a person’s own wrongdoing. Participants learn why personal liability may arise without piercing the corporate veil.
3. Understand How Contractual Identification Affects Responsibility
The manner in which a person identifies the business and signs a contract can become central to a liability dispute. This session examines contractual identification and signing capacity through practical business examples. Participants explore how the transaction documents help establish whether a person acted for a disclosed corporation or personally undertook an obligation.
Session 3: Corporate Accountability
Takeaways:
1. Understand How to Raise Claims to Pierce the Corporate Veil
When can a court look beyond a corporation’s separate identity and impose liability upon someone behind it? This session examines the principles governing veil piercing and explores the significance of corporate misuse. Participants learn to distinguish this exceptional route to liability from a claim based upon an individual’s own conduct.
2. Understand How Oppression Remedies Address Unfair Conduct
Oppression remedies provide a distinct framework for addressing corporate conduct that unfairly affects protected interests. This session introduces that framework and examines the circumstances relevant to personal accountability. Participants gain a clearer understanding of why oppression analysis requires its own legal foundation.
3. Understand How Statutes Impose Personal Liability
Statutory provisions can impose personal obligations upon people involved in a corporation. This session introduces statutory liability as a further route to accountability. Participants learn why the analysis must connect the particular provision with the person’s role and the circumstances giving rise to the alleged obligation.
Session 4: Litigation Application
Takeaways:
1. Understand How Business Records Help Identify Potential Parties
The final session brings the course together through practical business-dispute examples. Participants examine transaction documents and business records to identify the people and entities involved. The discussion connects those findings with the assessment of potential parties to a proceeding.
2. Understand How Material Facts Support a Theory of Liability
A supportable claim requires a connection between the alleged conduct and the particular legal basis for liability. This session focuses upon disciplined analysis: identify the business, establish each person’s role, and explain the responsibility alleged. Participants examine how material facts support the claim against each party.
3. Understand How the Course Principles Guide Litigation Decisions
Participants apply the course principles to the assessment of claims and defences in business disputes. Practical examples help practitioners distinguish corporate exposure from personal exposure and identify the evidence needed to support each position. The session turns the foundational knowledge into a clearer approach to litigation analysis.
